_ 02 — Holding Model

Own the asset.
License the growth.

Vertix separates the ownership of intellectual property from its commercial operation. The company holds title to the assets; licensed operators carry the market-facing risk.

/ 01

Own

Vertix holds title to the trademarks, software, source code and methodology that make up the NEXHA HAIRTECH ecosystem — consolidated under one U.S. entity.

/ 02

Protect

Brand rights, proprietary code and educational content are maintained and defended centrally, keeping the asset base intact independently of any single market.

/ 03

License

Revenue is generated through licensing agreements with operating partners and subsidiaries, converting the portfolio into recurring, royalty-based income.

_ 04 — Corporate Structure & Operations

One owner.
Global reach.

Vertix owns the intellectual property centrally in Wyoming and licenses it to operating entities and partners in each region — containing commercial risk at the market level.

/ Ownership

Held in Wyoming

All intellectual property is consolidated under Vertix Growth Partners LLC, a U.S. entity, keeping title, protection and value creation in one place.

/ Operation

Run by licensees

Day-to-day commercial activity is carried out by subsidiaries and licensed partners in each market, close to their customers and regulations.

/ Protection

Risk isolated by market

Liabilities and commercial exposure sit with the operating entities. A setback in one market does not compromise the underlying asset base.

/ Segregation
& Expansion

Retained right of direct operation

Vertix Growth Partners LLC formally retains the right to operate directly — through its own last-mile operating structures — in any territory where no exclusive partner has been established. Granting an exclusive licence in one market does not restrict the parent company from deploying its own operations wherever a territory is not yet covered by an exclusive partner.

This structure is standard for intellectual-property holding companies: the holding entity owns and licenses the assets, while operating companies and licensees handle sales, staffing and local obligations. It provides a clean, transparent chain of ownership and a scalable licensing model across jurisdictions.
